Komet Sales Fees

Overview:
Capitalized terms have the meanings given to them in the Terms of Service, Quote or Purchase Order, as applicable if they are not otherwise defined in this Pricing Schedule.

This page provides the information on the pricing for your (“User”) use of the applicable Services referenced in the charts below. Account terms are not guaranteed for any period of time; therefore, all terms, including fees may change in accordance with the Komet’s Terms of Service based on business performance data, market conditions, or for any reason. Except to the extent explicitly stated otherwise, in the event of any discrepancy or conflict between the content of this Pricing Schedule and the terms of any Order or other agreement you may have with Komet, the terms set forth on this Pricing Schedule prevail.

Your continued use of the Services constitutes acceptance of the fees and terms set forth on this page.

Komet reserves the right to assess applicable fees (“Network Transaction Fees”) for the full amount of invoices/orders with respect to transactions submitted to the Komet network (“Network Transactions”), including any additions made to any such invoice/order. Komet further reserves the right to bill you for Network Transactions that are subsequently voided.

Transaction Services Fees (for Komet Sales customers)
The following fees apply to the total gross invoice value on all sales Transactions made via the Transaction Services. The fees are not subject to any offset or reduction in the event any transaction is subsequently reversed or canceled.

Volume: Users with monthly transactions greater than $0 - Fee: 1.5%

Komet API Program Fees
The Komet API Program is intended to help software providers to provide more advanced or sophisticated functionality. For software providers that are using the Komet Services and Data for their applications, the following fees apply to the total gross invoice value on all Transactions sent or received via the Komet API Program. The fees are not subject to any offset or reduction in the event any transaction is subsequently reversed or canceled.

Volume: Users with monthly transactions greater than $0 - Fee: 1.5%

Late Fees 
If any invoiced amount is not received by Komet by the due date, such unpaid amounts will accrue interest at a rate of 1.5% per month or the maximum allowed under state law (whichever is lower). Komet, at its option, may suspend performance of any other obligation arising hereunder, in whole or in part, if Komet does not receive all amounts due and owing under this Agreement within thirty (30) days after delivery of notice to you (which may be presented to you through the Services) of the failure to pay such overdue balances.

Taxes
You are solely liable for any and all taxes arising in connection with its purchases of licenses to Services or services hereunder other than any federal, state, local, or other taxes based on or measured by Komet’s net income or receipts. Fees under this Agreement are exclusive of federal, state, or local taxes, or other sales, use, value-added, excise, personal property, or other similar taxes.
